These terms are legally binding and are designed to establish clear obligations, trade practices, liabilities, and rights between Techsonic Innovations LTD and all authorised business clients, distributors, resellers, and corporate buyers across the UK, Europe, the Middle East, Africa, South Asia, and Southeast Asia.

1. Definitions

For the purpose of these Terms and Conditions:

3. Acceptance of Terms

By placing an order, requesting a quotation, engaging in any pre-sale correspondence, or accessing our services, you confirm:

  • You are acting on behalf of a legally registered business entity.
  • You agree to be bound by these Terms and Conditions.
  • You possess the authority to enter into contracts on behalf of your company or organisation.

These Terms & Conditions shall override any terms the Buyer may provide unless expressly agreed in writing by Techsonic Innovations LTD.

4. Eligibility to Trade

To qualify for trading with Techsonic Innovations LTD, you must:

  • Be a legally registered business or corporate entity.
  • Provide a valid VAT number (UK or EU, where applicable).
  • Submit company registration documents and proof of trade activity (if requested).
  • Operate in one of the regions we export to: Europe, the Middle East, Africa, South Asia, Southeast Asia.

We reserve the right to reject or terminate trade relationships with any entity that does not meet these criteria or presents a risk to our operational or legal obligations.

5. Orders and Quotations

5.1 Requesting a Quote

Quotes may be requested via:

  • Direct email communication
  • Telephone or WhatsApp (where supported)

Quotations are valid for 3 business days from the date of issue unless otherwise stated.

5.2 Order Placement

Orders are confirmed only when:

  • A formal Proforma Invoice is issued by us.
  • Full or agreed advance payment is received.
  • All required documentation is provided.

We operate under a strict B2B wholesale framework; minimum order quantities (MOQs) may apply depending on product category.

6. Pricing and Payment Terms

6.1 Currency and Pricing
  • All prices are quoted in GBP (£) unless otherwise agreed.
  • Prices are exclusive of VAT, shipping, customs duties, and bank charges.
  • Final pricing will be confirmed in the Proforma Invoice.
6.2 Payment Methods

We accept:

  • Bank transfer (UK and international wire)
  • Trade finance (where previously approved)
  • Letter of credit (L/C) for specific export agreements

We do not accept cheques, personal payments, or credit cards.

6.3 Payment Terms
  • New Buyers: Full prepayment is required.
  • Existing Buyers (on approved terms): Net 7 or Net 14 days by agreement.
  • Orders are only processed after funds are cleared in our account.

Buyers are responsible for all bank transfer fees, including intermediary bank costs.

7. Product Information and Availability

7.1 Product Accuracy

All specifications, model numbers, and descriptions are provided in good faith. While we strive for accuracy:

  • Techsonic Innovations LTD does not warrant 100% accuracy due to manufacturer updates.
  • Buyers should verify product compatibility and features before order confirmation.
7.2 Stock Availability

Stock is subject to availability at the time of order confirmation. We do not guarantee stock availability based on previous enquiries or outdated quotations.

In cases of limited availability, priority is given to prepaid or recurring clients.

8. Shipping & Delivery

8.1 Delivery Terms

Delivery options include:

  • Ex-Works (EXW)
  • Free Carrier (FCA)
  • Delivered Duty Paid (DDP)
  • Delivered At Place (DAP)
  • FOB / CIF (for sea freight)

Delivery terms must be agreed upon in writing at the time of order confirmation.

8.2 Shipping Carriers

We work with approved freight forwarders and couriers such as:

  • DHL Express
  • FedEx
  • UPS
  • DSV, Aramex, Emirates SkyCargo (for exports)
8.3 Customs and Duties

International buyers are responsible for:

  • Import duties
  • VAT or local tax on arrival
  • Compliance with destination country regulations

We provide all standard export documents:

  • Commercial Invoice
  • Packing List
  • Export Declaration
  • Certificate of Origin (if required)

9. Title and Risk

9.1 Title of Goods

Ownership of the Goods transfers only after full payment is received and cleared.

9.2 Risk Transfer

Risk passes to the Buyer upon:

  • Collection from our warehouse (EXW)
  • Delivery to carrier (FCA, FOB)
  • Delivery at the destination (DDP/DAP)

Buyers are advised to secure cargo insurance to cover the risk during transit.

10. Warranty & After-Sales

10.1 Manufacturer Warranty

Goods supplied may carry a manufacturer or distributor warranty (if applicable), terms of which are subject to third-party policies.

10.2 Company Warranty

Unless explicitly stated, Techsonic Innovations LTD does not offer independent warranties. However, we may assist in:

  • Defective product claims
  • Providing replacement units or credit (at our discretion)

Warranty claims must be submitted in writing within 7 days of delivery.

10.3 Exclusions

Warranty is void if:

  • Goods are damaged due to mishandling by the Buyer or end-user.
  • Goods are resold in regions with a restricted manufacturer’s warranty.
  • Goods are disassembled or modified.

11. Returns and Refunds

Due to the B2B and export nature of our business, we operate a no-return and no-refund policy unless:

  • Goods are proven to be materially defective on arrival.
  • Wrong items were shipped due to our internal error.

In such cases:

  • Notification must be received within 48 hours.
  • Goods must remain unused and sealed.
  • Return shipping is at the Buyer’s expense unless otherwise agreed.

Approved refunds are processed via bank transfer only.

12. Liability and Indemnity

12.1 Limitation of Liability

To the maximum extent permitted by law, Techsonic Innovations LTD shall not be liable for:

  • Indirect, incidental, or consequential loss.
  • Loss of profits or business interruption.
  • Delays caused by logistics, customs, or third-party services.

Our total liability is limited to the invoice value of the affected Goods.

12.2 Indemnity Clause

The Buyer agrees to indemnify and hold Techsonic Innovations LTD harmless from any claims, liabilities, or damages resulting from:

  • Resale of Goods in breach of local laws.
  • Failure to comply with import/export regulations.
  • Misuse or misrepresentation of our brand or product listings.

13. Intellectual Property

All content on our website, including logos, product data, documentation, and media, remains the intellectual property of Techsonic Innovations LTD or its licensors.

Buyers are not permitted to use, copy, or reproduce any content without written permission.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including:

  • Natural disasters
  • Transport disruptions
  • Political unrest or sanctions
  • Supplier delays
  • Pandemics or national emergencies

15. Compliance and Sanctions

Buyers must comply with:

  • UK export control laws.
  • International sanctions and restricted parties lists.
  • Trade regulations in the destination country.

We reserve the right to refuse business or cancel contracts if trade with a specific country or entity is prohibited by law.

16. Confidentiality

All quotations, contracts, and business communications are confidential. Buyers agree not to disclose any part of their trade agreement with Techsonic Innovations LTD to third parties without prior written consent.

17. Anti-Bribery and Anti-Corruption

We maintain a zero-tolerance policy towards bribery, corruption, and unethical trade practices. Any buyer found engaging in such practices will have their contract terminated immediately.

18. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with English Law.

Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Amendments to Terms

Techsonic Innovations LTD reserves the right to amend these Terms & Conditions at any time.

Changes will be:

  • Published on our website
  • Communicated to existing clients where applicable

Continued engagement constitutes acceptance of any updates.

20. Entire Agreement

These Terms & Conditions, together with any issued Proforma Invoice or agreement, constitute the entire contract between Techsonic Innovations LTD and the Buyer. No verbal communications or external documents will override these terms unless expressly agreed in writing.
